Terms of Service

1. Acceptance of these terms

By creating an account or using TradeJournalOS, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service. If you use the service on behalf of an organization, you represent that you are authorized to bind that organization.

2. The service

TradeJournalOS lets you import broker CSV files or connect a brokerage, reconstruct your stock and ETF positions, view deterministic performance statistics and candlestick charts, journal your trades, and request optional AI analysis. We may add, change, or remove features over time.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the service.

4. Your account

You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly at support@tradejournalos.com if you suspect unauthorized use. You are responsible for the accuracy of the data you import or enter.

5. Brokerage connections

Optional brokerage connections are provided through SnapTrade. By connecting a brokerage, you authorize us to receive read-only account, balance, position, and transaction data for the accounts you select. We do not place, modify, or cancel trades and we never receive your brokerage credentials. Your use of SnapTrade is also subject to SnapTrade’s own terms and privacy policy. You can disconnect a brokerage at any time, and you are responsible for complying with your broker’s terms.

6. Subscriptions, credits, and billing

• The service offers a free tier and a paid “Pro” subscription. Paid features, prices, and AI-credit amounts are shown at checkout.
• Subscriptions renew automatically each billing period until canceled. You can cancel anytime; cancellation takes effect at the end of the current period and you retain access until then.
• Payments are processed by Stripe. By subscribing or buying credits, you authorize the applicable charges.
• AI credits are a prepaid, in-app unit consumed when you use AI features. Except where required by law, payments and consumed credits are non-refundable.
• We may change prices or plan features on a prospective basis; we will give notice where required and changes will not affect the period you have already paid for.

7. Acceptable use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable law or regulation.
• Upload data you do not have the right to use, or another person’s account data without authorization.
• Attempt to access other users’ data, breach security, or disrupt or overload the service.
• Reverse engineer, scrape, resell, or build a competing product from the service except as permitted by law.
• Misuse AI features to generate unlawful, harmful, or abusive content.

8. Not investment, tax, or legal advice

TradeJournalOS is a journaling and analytics tool. Nothing in the service — including statistics, charts, or AI-generated analysis — is investment, financial, tax, accounting, or legal advice, a recommendation, or a solicitation to buy or sell any security. You are solely responsible for your own trading and investment decisions. Past performance does not guarantee future results. Consider consulting a licensed professional before making financial decisions.

9. Data accuracy

Our statistics are computed deterministically from the data you import or connect. Their accuracy depends on the completeness and correctness of that source data and of third-party market data. Price history and AI output may contain errors or gaps. Verify important figures (including for tax or reporting purposes) against your official broker statements.

10. Intellectual property

The service, including its software, design, and content, is owned by or licensed to SdV Ventures LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the service for your personal or internal business use. You retain ownership of the data you upload and grant us the rights necessary to host and process it to provide the service.

11. Third-party services

The service integrates with third parties such as SnapTrade, Stripe, Anthropic, and market-data providers. We are not responsible for the availability, accuracy, or practices of third-party services, which are governed by their own terms.

12. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that any data or analysis will be accurate or complete.

13. Limitation of liability

To the maximum extent permitted by law, SdV Ventures LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, trading or investment losses, or data, arising out of or relating to your use of the service. Our total liability for any claim relating to the service will not exceed the greater of the amount you paid us in the twelve months before the claim or USD 100.

14. Indemnification

You agree to indemnify and hold harmless SdV Ventures LLC from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the service, your data, or your violation of these Terms or any law or third-party right.

15. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the service or other users. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

16. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.

17. Governing law

These Terms are governed by the laws of the State of Arizona and the United States, without regard to conflict-of-laws principles. The courts located in the State of Arizona will have exclusive jurisdiction over any dispute, except where applicable law gives you the right to bring a claim elsewhere.
